The heart of our funding strategy is a program established by the Securities & Exchange Commission called the Regulatory D Private Placement program in 1982. The program was specifically designed for small to medium businesses to provide a legal foundation for seeking funds from private investors. These private investors are available to you in order to get the funds you need for your enterprise.

HOW MUCH IS YOUR SERVICE?

Before you read the answer, review this article which outlines what a FINRA Broker/Dealer charges to create and fund a PPM. 

Did you read the report on the link above? Are you stunned? We generally recommend the use of the SEC's Regulation D 506c Private Placement. It may be used for any dollar amount and recently the JOBS Act went into effect with a dramatic impact on the marketing of private placements. Until the JOBS Act no general advertising was allowed. Now mass media may used to promote your private placement. There are a couple of conditions but they are easily met. Expect to be quoted anywhere from 3% to 6% with most coming from funds raised. Compared to the 15% FINRA Broker/Dealers charge, this is a bargain. The cost to a company to do an Initial Public Offering, the logical steps after a Regulation D Private Placement is typically 15% to 25% of the funds raised. That's huge! 

To reduce this to reduce this to simple math, an IPO of $1 Million may cost from $150,000 to $250,000.

IS IT LEGAL FOR ME TO CONTACT INVESTORS?

Yes. We share the proper steps to take. Why couldn't I just show investors my business plan? Why do a Private Placement? Savvy private investors know that they are dealing with a sophisticated individual when you have prepared and filed a Private Placement. This takes away the tendency of some investors to change rules, so to speak. Additionally, the presence of a private placement puts all parties on notice that the transaction is coming under the legal guidelines of the state as well as the federal securities law provisions. Most principals and investors prefer the comfort of knowing there is some oversight for Private Placement. Our fees to create one for the client are quoted on a deal-by-deal basis. WHAT DO I NEED TO PROVIDE IN THE DOCUMENTS FOR THIS PROGRAM?

We will provide a list of the normal items generally required. You may use an LLC or "C" Corp as the entity type for raising funds using a Reg D program. If you haven't formed a company yet, many have found that filing in Nevada has its advantages. If you would like us to do this for you we charge $495.00 which includes the initial basic filing and a resident agent fee for one year. You may of course do this on your own if you wish
